Online Platform or Services Platform: Private website where Buyers can access all Ufounders Services specific to the type of Subscription they have purchased. The Online Platform includes any private area or navigation of the Online Platform (only visible to Buyers). Buyers access the platform (https://startup.ufounders.com) after registering with their email, and through either an authentication link sent to that email, or through Google or Microsoft authentication services.
Mentoring Platform: Private website where Mentors can access to provide Mentoring Services to Ufounders Entrepreneurs. The Mentoring Platform includes any private area or navigation of the Mentoring Platform (only visible to Mentors). Mentors access their space through an email and password after completing the corresponding registration by accepting these Terms, the Privacy Policy and Cookies, which they must accept when they register because they are accessing a different platform to the one they used to access before Ufounders has modified its way of marketing its products through a subscription model. Their access will be through https://app.ufounders.com.
Usuario: Person who accesses and navigates within the Website.
Buyer: Natural or legal person who acquires the Subscription available on the Online Platform and who therefore becomes a registered account on the same.
Consumer: Buyers who act with a purpose outside their commercial activity, business, trade or profession, as defined in the Royal Legislative Decree 1/2007, of 16 November, which approves the text of the General Law for the Defence of Consumers and Users.
Entrepreneur: Buyer that contracts with Ufounders the Subscription in order to develop its project.
Partners: Ufounders collaborators that offer their services through the Service Marketplace or any other of the platforms owned by Ufounders.
Community: All messaging channels that Ufounders has available with the aim of connecting different members of the entrepreneurial ecosystem in order to build strategic quality relationships.
Mentoring Services: All mentoring and advisory services offered by mentors to Ufounders Entrepreneurs through the Platform or through additional alternative channels, according to their preference.
Mentor: Qualified professional with the necessary experience to advise and accompany Ufounders start-ups.
Content: Any multimedia content, service or link to it or other material that is made available through the Ufounders Services.
Subscription: The different categories of product(s) offered by Ufounders through its Online Platform and which aim to help users to develop and consolidate their entrepreneurial project. Hereinafter, regardless of the fact that there may be different types of subscriptions with their respective payment methods, we will refer to them in the singular as the Subscription.
Services: The set of services provided by Ufounders regardless of the Online Platform through which the service is provided.
Terms and Conditions or "Terms": The set of general conditions and basic clauses contained in this document, which regulate the rights and obligations arising from the access, navigation and use by the Buyer of the Online Platform in relation to the Subscription offered by Ufounders and the Mentoring Services provided by the Mentors to the Subscription Buyers or the Entrepreneurs already within the Ufounders community.
The Subscription and all services contained therein and offered on the Online Platform are owned by Ufounders Management, S.L. (hereinafter "Ufounders"), with Tax Identification Number ESB88502463, registered office at C/ Tulipan 2 - Portal 6, bajo C 28231 - (Rozas De Madrid, Las) - Madrid (Spain) and registered in the Commercial Register of Madrid, Volume 33.937, Folio 148, Section 8º, Page M-610752. The Buyer who wishes to contact Ufounders may use the postal address indicated above or, if he/she prefers, contact via email pay@ufounders.com. It is also informed that Ufounders is the owner of the Website www.ufounders.com, as well as of the domains https://app.ufounders.com/ and https://investor.ufounders.com , https://startup.ufounders.com, https://tools.ufounders.com. The failure of Ufounders to exercise or enforce any right or provision of these Terms shall not constitute a waiver thereof, unless expressly acknowledged and agreed in writing with the Buyer. Ufounders makes the Online Platform: (i) available to Users in order to provide them with useful information about the Subscription and the Services included therein, in order to facilitate the procurement of the products made available to Users through the Online Platform and (ii) available to the Mentors to provide the Mentoring Services. Due to the very nature of the Services, the constantly changing market in which it operates and the fact that it is a startup, i.e. a newly created company with great potential for growth, Ufounders reserves the right to alter the Content of the Terms and Conditions without prior notice, provided that it is not a substantial change thereof. In this regard, Ufounders may periodically make modifications or adaptations to these Terms in order to adapt the business model to market trends and needs, given the particularities of the entrepreneurial ecosystem. In case of substantial changes to these Terms, we will notify you by email, giving the Buyer sufficient alternatives to ensure a balance between the parties. However, we recommend that you periodically review these Terms as revised versions will be binding. As a Buyer, you understand and agree that your continued access or use of the Services after the effective date of the modifications to the Terms indicates your acceptance of the modifications. The date of the last revision will be indicated at the top of this page. Furthermore, the Company reserves the right to (i) monitor access and/or use of the Website and to take technical measures (e.g. collect the IP address of the user) in order to control and verify that the use is in accordance with these Terms and Conditions and applicable law, (ii) suspend, without prior notice, the Buyer's or Mentor's account and deny access to the Online Platform and/or the services in case of non-compliance with these Terms. The provisions of these Terms shall prevail unless there is an agreement or specific terms and conditions that override any or all of the provisions herein. Furthermore, in the specific case of Mentors, those who have purchased the Ufounders services prior to the date on which Ufounders changed its business model and ceased to market the Mentoring product and ceased to treat Mentors as Customers or Consumers, i.e. 13 January 2023, shall be bound by the above terms and conditions relating to the after-sales and returns policy that they signed at the time they purchased the product. However, in these Terms, new clauses specific to Mentors are added. These aim to ensure an adequate legal framework for the provision of Mentoring Services by our Mentors, as well as to protect the interests of all participants in our business community. In this regard, clause 6 of these Terms contains a specific section regulating the figure of the Mentor and the conditions under which they must provide their services, so that, subsidiarily, the general clauses of our Terms and Conditions that specifically regulate the provision of the services of the Mentors will also be applicable to them.

Distance contracting
The contracting of the Subscription shall be concluded at a distance, with the offer and acceptance and, therefore, the perfection of the contract being recorded by means of any durable medium that allows the Purchaser to store information, with the objective of its easy retrieval for a period of time adequate for the purposes for which the information is intended, and that allows the unchanged reproduction of the stored information.
Availability
The Subscription may be purchased subject to availability. All deliveries of Subscription keys or materials are subject to confirmation of the payment transaction and technical availability.
Requirements for contracting
Accessing and browsing the Online Platform implies express acceptance and knowledge of the legal warnings, conditions and terms of use contained therein without reservation. The Buyer declares and acknowledges:To have read, understood and fully understood the terms of use of these Terms of Use, Cookies Policy, Privacy Policy and Legal Notice.To be a person with sufficient capacity to contract. Participation is aimed at natural persons over 18 years of age. The Buyer is solely responsible for the truthfulness and accuracy of the data provided. In the event of not being over 18 years of age, the minor must have the express authorisation of his/her legal representatives to purchase the Subscription and access the Services included therein. In this case, the minor and his/her legal representative(s), if requested by Ufounders, must have it and be able to prove it, and assume all the obligations set forth herein.
Prices and offers
The Subscription offered on the Online Platform will include a detail of all the Services included and what their acquisition price will be. The price indicated on the screen will be shown in EUROS, in US DOLLARS, and will include applicable direct taxes, unless otherwise stated. This price shall at all times be the price in force when the Buyer makes the purchase. If there is a typographical error in any of the prices shown and a User or Buyer has made a purchase decision based on such inaccuracy, Ufounders shall inform the User or Buyer of such error and the User or Buyer shall be entitled to cancel the purchase at no cost to the User or Buyer. In the event that Ufounders carries out promotional campaigns which may include discounts on the price of the Subscription, e.g. through coupons or discounts or demo versions ("Promotions"), these shall be appropriately indicated through different means, or coupon codes or any other method established by Ufounders may be entered at the time of payment. Please note that the offers have a limited duration in time, and different characteristics from time to time. Ufounders may from time to time change the price of Subscriptions, including recurring subscription fees or Promotions and will give you due notice of any price change. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, if you continue to subscribe to the Ufounders Subscription, once the price change takes effect, you will be deemed to have accepted the new price. If you do not agree to a price change, you may reject the price change by unsubscribing from the relevant Subscription before the price change takes effect.Tax rates are based on the rates applicable at the time of your monthly payment. Purchase process
For the purchase of the Subscription on the Online Platform, the Buyer must have a device with an internet connection (with the costs of connection to the network being the exclusive responsibility of the Buyers and/or Entrepreneurs), to register and complete the purchase process. To do so, he/she must select the desired Subscription method and click on the "Start Subscription" button or similar expression, and proceed to complete the required information, after which he/she must make the payment. The Purchaser shall check whether the Subscription suits his/her needs by reading the description of the Subscription, its features, the available payment options, and the applicable price and tax, if any.For the purchase of the Subscription through the payment methods listed below, Ufounders may request the following personal data from the User:Name and SurnameName of the company (if applicable)Personal or corporate address (in case of a legal entity) detailing the following elements: country, region, town and province. Telephone numberEmail addressOrder notesCoupon code (if applicable), andMethod of paymentFor the completion of the electronic form, it is necessary to provide all those data that were marked as mandatory by an asterisk (*). Any changes to the registration data must be previously communicated to Ufounders for authentication and validation, the User will receive on screen the conditions of purchase and must accept them in order to continue with the purchase. To proceed to payment via credit or debit card, the amount and reference of the purchase will appear on the screen and the Buyer will be asked to provide the information displayed on the screen, which in any case will include the following: a) Card number; b) Expiration date; c) CVV or CSC (card verification or security code consisting of three or four digits located on the back of the card). Ufounders uses for the management of payments, payment platforms and/or third party tools that facilitate the electronic transaction and provide a totally secure environment for the completion of the transaction.
Demo version
Ufounders, as a result of the Promotions, may additionally offer the possibility to test a one-time demo version of the Online Platform ("Demo"). This requires an online registration of the User, which is free of charge ("Free Period"). Thereafter the User becomes, for the purposes of the rights and responsibilities of these Terms, a Buyer of the Ufounders Services and may browse, access and benefit from the services offered by the Online Platform for the duration of the Free Period granted upon access (days may vary depending on the Promotion). Prior to the expiry of the Free Period, Ufounders shall notify the Buyer, by means of an email, which shall be sent to the same email address where the Buyer registered, that there are 24 hours left until the end of the free version. At the end of the Free Period, the Demo version will be deactivated (without requiring any further action by the Buyer) and the paid Subscription will be automatically activated and invoiced on a monthly recurring basis ("Payment Period"), which amount will become due, unless the Buyer has cancelled the Subscription prior to the end of the Payment Period in a timely manner, i.e. prior to the end of the Free Period. This procedure is automatic because the Buyer, prior to the commencement of the Free Period, has accepted and agreed to these Terms.
Renewal and cancellation
Payment made by the Buyer to Ufounders will automatically renew at the end of the monthly period corresponding to the Subscription, unless the Buyer cancels his Subscription before the end of the current Payment Period. Cancellation of Subscription. To proceed with the cancellation of the Subscription, you may contact by email from the same email address where the Buyer registered, the Customer Experience department via email at pay@ufounders.com and proceed with the confirmation of the cancellation of your Subscription in writing, with the word "UNSUBSCRIBE" in the subject line, three working days before the date on which the Subscription is renewed or cancel the subscription automatically before the date on which the Subscription is renewed through the "Manage your account" section located in the "Settings" section located in the user's profile. Right of withdrawalIf you subscribe to a Demonstration or Subscription that does not have a Demonstration associated with it, you agree that the right of withdrawal from the paid Subscription for which you receive a Demonstration ends fourteen (14) days after the start of the Demonstration. If you do not cancel the paid Subscription before the end of the Demonstration, you will lose your right of withdrawal and authorise Ufounders to automatically charge you the agreed price each month until you cancel the Subscription. In the case of trials of less than fourteen (14) days, you expressly consent that we provide the paid service to you immediately after the end of your Trial and that thereafter you lose your right of withdrawal.if you purchase a paid Subscription without a Trial, you agree that you have fourteen (14) days after making your purchase to withdraw for any reason. However, after this period, you expressly consent to the provision of the service immediately following your purchase, the loss of your right of withdrawal and you authorise Ufounders to automatically charge you each month until you unsubscribe.

In addition, the payment service providers are PCI DSS certified for card payments and 3D-Secure programme to authenticate buyers with higher security standards and prevent electronic fraud. Credit card details are not recorded in any database, but go directly to the bank's POS, so that no third party will have access to this information. Ufounders does not receive at any time the Users' credit card details, only the confirmation of their payment.

Mentoring services
Once the Entrepreneur enters the Services Platform, they will have access to hire mentoring from a Mentor to benefit of the expertise, knowledge and/or contacts that the Mentors of the Ufounders community have in multiple sectors. Ufounders may make available to both a type of service provision contract in order to help them consolidate their relationship in the most quick and easy as possible. However, this standard model only provides basic and market standard terms and conditions and in no case, the mandatory conditions or requirements under which the relationship between the Entrepreneur and the Mentor must be governed. Both the Entrepreneur and the Mentor may modify the conditions defined in the contract provided by Ufounders. Ufounders is not responsible for the conditions under which the relationship between the Entrepreneur and the Mentor is finally developed, not intervening in the definition and/or negotiation thereof. Ufounders foresees in its Mentor service provision contract models the modality of financial remuneration only, as well as remuneration via equity through a contract for objectives (also known as a “vesting” contract) or a combination of both modalities.

Likewise, the Subscription allows Entrepreneurs to get in touch with other members of the entrepreneurial ecosystem in order to build quality strategic relationships. The price reduction will be optional and must be evaluated by the Company itself to determine the amount that, if applicable, will be offered to the Buyer, as long as the responsibility or lack of conformity has been motivated by a non-compliance on the part of Ufounders. If this is not the case or if it is not considered in this way by Ufounders, the contract will be terminated.
OBLIGATIONS OF UFOUNDERS
Ufounders undertakes to comply with the following obligations:Give access and make the Service Platform available to the Buyer, the documentation and functionalities of the contracted Subscription, once the purchase has been made, as well as the rest of the services included in the Subscription during its duration and validity. MENTOR RESPONSIBILITIES
In order to ensure adequate legal regulation and transparency in our operations, it is necessary to establish specific clauses in the Terms and Conditions that apply to the Mentors who participate within the Ufounders Platform providing Mentoring Services.
